Terms of Service

1. Acceptance of Terms

By accessing or using Cortex ("the Service"), provided at cortexapp.org, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Cortex is a multi-tenant task management platform designed for teams. The Service allows organizations to create, assign, track, and manage tasks, collaborate with team members, and integrate with third-party services including Google Calendar, Discord, and Slack.

3. Account Registration

To use Cortex, you must create an account using Google OAuth or email/password authentication via Auth0. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration.

4. Organizations & Roles

When you first sign up, an organization is automatically created for you as the Owner. You may invite other users to join your organization as Managers or Designers. Each role has different permissions within the platform. Organization Owners are responsible for their team members' use of the Service.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload malicious files, scripts, or content designed to harm the Service or its users
  • Attempt to gain unauthorized access to other organizations' data
  • Interfere with or disrupt the Service's infrastructure or other users' access
  • Use automated tools to scrape, crawl, or extract data from the Service
  • Impersonate another user or misrepresent your identity
  • Share your account credentials with unauthorized individuals

6. Third-Party Integrations

Cortex integrates with third-party services including Google Calendar, Discord, and Slack. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or functionality of third-party services.

  • Google Calendar: We request read-only access to display your calendar events. You can revoke access at any time from your Google Account settings or the Cortex Settings page.
  • Discord & Slack: Notifications are sent to channels you configure. You control which channels receive notifications and can disconnect at any time.

7. AI-Powered Features

Cortex includes AI-powered features, including automated performance analytics and bi-weekly performance reviews, powered by OpenAI's language models. By using these features, you acknowledge that:

  • AI-generated content (including performance summaries, reviews, and insights) is produced by automated systems and is provided for informational purposes only
  • AI-generated content should not be treated as a substitute for independent human judgment, formal performance evaluations, or employment decisions
  • Task performance data, team member names, task metrics, and manager feedback notes are sent to OpenAI's API for processing. OpenAI does not use API data for model training under their current data usage policy
  • Cortex does not guarantee the accuracy, completeness, or appropriateness of AI-generated content
  • Workspace managers and owners are responsible for reviewing AI-generated reviews before using them in any capacity

8. User Content

You retain ownership of all content you upload to Cortex, including task descriptions, attachments, and designer profiles. By uploading content, you grant us a limited license to store, display, and transmit that content solely for the purpose of providing the Service. We do not claim ownership of your content.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law, Cortex and its developers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or business opportunities, arising from your use of or inability to use the Service.

12. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may also delete your account at any time by contacting us. Upon termination, your data will be deleted in accordance with our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation before pursuing any other remedy.
